Shortening Terminal Contract Negotiations to 11 Days

Instead of the standard 4 weeks, we closed a steel transshipment agreement in record time thanks to a clear argumentation structure.

Stal-Met Gdynia needed a new steel transshipment agreement at the Port of Gdynia. The deadline was critical as the ship with 4,180 tons of steel had already left Bilbao and was due at the roads in less than two weeks.

The challenge

Standard negotiations with terminals in our region usually last from 28 to 32 days. The client had only 12 business days before the unit's planned arrival. Every day of delay meant a risk of high ship demurrage, which in this case was about 2,350 USD per day. The original draft agreement sent by the terminal was 44 pages long and contained clauses about almost unlimited client liability for potential port equipment damage, while lacking a discharge deadline guarantee. Without unnecessary talk, this had to be straightened out.

Our approach

We assigned 3 people to the task: a lead negotiator and two port law specialists. We abandoned long legal letters in favor of face-to-face meetings at the terminal office on Polska Street. We focused on quayside practice – we removed 17 pages of redundant legal theory that only obscured the operational picture. We presented hard charter conditions that Stal-Met already had signed with the shipowner and aligned them with the new terminal agreement. Key was negotiating clear rules for liability for sheet metal paint coating damage, the most common dispute point with steel.

The solution

We prepared a simplified contract scheme focused on 4 specific parameters: storage rate above 6 days, discharge window, visible damage reporting procedure, and a penalty system for failure to provide a crane on time. Documentation was shortened to 14 concrete pages. We applied a rapid technical arbitration mechanism, which convinced the other side to make concessions on insurance issues. The entire process was closed in two rounds of face-to-face negotiations.

Results

We managed to sign the contract 2 days before the ship entered the port. The client avoided penalties for staying at the roads and secured the transshipment of 4,180 tons of cargo on clearly defined financial terms.
